  • “Terms of Use” – the terms and conditions stated in this contract
  • “Website” – CIAL Social Media, any third party vendors, or subcontractor associated
  • “Company” – CIAL Social Media, any third party vendors, or subcontractor associated 
  • “CIAL Social Media” – CIAL Social Media, any third party vendors, or subcontractor associated 
  • The “Services” – services, content, features, products, activities, or packages.
  • “You” or “Your” or “Client” – includes you, your company, subsidiaries, affiliates, or employees.

2.1 The Terms of Use stated in this contract preside over all use of the Company’s Services. Please read these Terms of Use carefully before using the Services.

2.2 By using the Services, you agree to be bound by these terms of use and all terms, policies and guidelines incorporated in the terms of use by reference, including, but not limited to CIAL Social Media Privacy Policy.

2.3 CIAL Social Media makes no warranties or promises of results by use of the Services on it’s website or any sites linked to this site.

3.1 By using any Services provided by the Company, you are agreeing to be bound by the terms of service, and are agreeing that you are responsible for compliance with any laws and regulations. If you do not agree with any of these terms, you are prohibited from use of our services.


4.1 In no event will CIAL Social Media be held liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the Services, even if CIAL Social Media has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

4.2 In no event will CIAL Social Media or any third-party associated, be held responsible or liable for any incident where the Client’s accounts are blocked, changed, hacked, or permanently deleted. CIAL Social Media or any third-party associated, will not be held responsible for your account getting temporarily or permanently blocked by Instagram for violating their rules regarding posting, content, and action limits.  


5.1 CIAL Social Media will not be held responsible for any infringement in copyrighted materials used for content. All original content created for the Client’s social accounts, the Company holds ownership of. In any case the Client wants to have permanent ownership of original content it may be available for purchase.


6.1 The Company is required under the Privacy Policy and General Service Agreement to hold all personal information such as passwords, security questions, phone numbers and emails, private and remain confidential. It is your duty to protect your username and password and you are solely responsible for activities that occur under or through your account, including activities initiated by third parties, whether or not such activities are authorized by you. If you allow a third party to access the Services on your behalf, you shall ensure that such third party is bound by, and abide by, the terms of this Agreement. You agree to notify CIAL Social Media immediately of any unauthorized use of your account or any other breach of security relating to your account or your use of the Services.

6.2 By using any Services, you agree to give access, or any information associated with your account, to CIAL Social Media and any third party vendor associated. You acknowledge and consent to such access.

6.3 CIAL Social Media or any third-party  associated will not be held responsible for any compromising of accounts: hacking, leaking of information, deletion of content, or deletion of account, by any means.


7.1 CIAL Social Media offers monthly subscriptions where the Client will  provide a credit card to charge every month. By using any Services provided by CIAL Social Media you agree to be charged monthly with our subscription services.


8.1 The Company may change the fees for the Services at any time or impose additional fees or charges but will give notice in writing or orally to the Client.


9.1 It is the duty of the Client to provide accurate payment information. In any case of fraudulent charges may occur, CIAL Social Media will not be held responsible for such cases or leak of information. It is the Client’s job to keep card information secure.


10.1 Services are provided on a month-to-month basis unless mentioned in General Service Agreement upon on-boarding. The Client can terminate the “Agreement” with a 30-day written notice. To clarify, if Client wishes to terminate Services they will still be bound to these Terms and Agreements until their next billing cycle which will be the next month, then the termination will take effect.


11.1 CIAL Social Media or any third party subcontractor will not be held responsible for any altercations created from online communication. The Company has the right to communicate with the Clients customers or potential customers due to the service description. In any case, if a situation arises the Company will notify the Client immediately but will not be held liable. This includes but is not limited to: comments, DM’s, PM’s, or any communication made by the Company on behalf of the Client. 


12.1 CIAL Social Media may revise these terms of service at any time without notice. By using this website or any Services you are agreeing to be bound by the then current version of these terms of service.

12.2 It is your sole responsibility to check whether these terms have changed.
